These Terms & Conditions ("Terms") govern your access to and use of the website opsell.ai, the free tools hosted on it (including the Profit Calculator), and the application at dev.opsell.ai (collectively, the "Service"), provided by Opsell AI ("Opsell," "we," "us," "our").

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of a business, you represent that you are authorized to bind that business, and "you" refers to that business.

You must be at least 18 years old and capable of forming a binding contract under the Indian Contract Act, 1872. The Service is intended for businesses and their authorized users.

Opsell is an AI-assisted commerce execution platform that helps sellers manage and optimize listings, pricing, promotions, campaigns, and analytics across third-party marketplaces and storefronts (e.g., Amazon, Flipkart, Myntra, Meesho, Shopify, and quick-commerce platforms). Depending on your configuration and authorization, the Service can recommend actions or execute them on your behalf via marketplace APIs.

We may add, modify, or discontinue features at any time. Some features are in early access, beta, or preview and may change or be withdrawn.

• Account security. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.
• Marketplace authorization. To use core features, you authorize Opsell to connect to your marketplace/store accounts via their APIs and to read and, where you enable it, write data (including changing prices and listings). You represent that you have the right to grant this access and that doing so does not violate your agreements with those marketplaces.
• Marketplace terms.Your use of each connected marketplace remains subject to that marketplace's own terms and API/data-use policies (e.g., Amazon SP-API policies, Flipkart/Myntra/Meesho seller terms). You are responsible for complying with them. Opsell is not affiliated with, endorsed by, or acting as an agent of these marketplaces.
• Accuracy of data. You are responsible for the accuracy of the catalog, cost, and pricing inputs you provide or connect.

You control what the Service is authorized to do. The Service can operate in recommendation-only, approval-required, or automatic modes, and always within the rules and limits you configure (including minimum-margin floors and pricing bounds).

You acknowledge and agree that:

• AI-generated recommendations and automated actions are decision-support tools based on available data and your configured rules. They may be incomplete, delayed, or incorrect.
• You are solely responsible for the rules you set and for reviewing the outcomes. Automated price and listing changes execute according to your configuration.
• Opsell does not guarantee any specific outcome — including revenue, GMV, margin, conversion, ranking, or buy-box results. Figures shown on our website (e.g., growth percentages or case-study multipliers) are illustrative or based on limited pilots and are not a promise of results.
• Marketplace platforms may reject, delay, override, or penalize changes; API availability and behavior are outside our control.
• You are responsible for ensuring your pricing and promotional practices comply with applicable law (including competition, consumer-protection, and marketplace rules).

To the maximum extent permitted by law, Opsell is not liable for losses arising from automated actions taken within the rules you configured, from marketplace behavior, or from third-party data inaccuracies.

The Profit Calculator and similar free tools are provided "as is," for general informational purposes only. Marketplace fees, commissions, GST, and return costs change frequently and vary by category, region, and seller agreement. Results are estimates and must not be relied upon as financial, tax, or accounting advice. Verify figures against your actual marketplace fee schedules before making decisions.

• Pricing for paid plans, where applicable, will be presented before you subscribe.
• Unless stated otherwise, fees are exclusive of applicable taxes (including GST), which you are responsible for.
• Fees are payable in advance and, except as required by law, are non-refundable.
• We may change fees on prospective notice. Continued use after a fee change constitutes acceptance.
• Any free trial or early-access offer is subject to its stated terms and may be modified or withdrawn.

You agree not to:

• use the Service in violation of any law or any marketplace's terms;
• engage in price-fixing, collusion, or other anti-competitive conduct;
• misuse the Service to manipulate rankings or reviews deceptively, or to publish false, infringing, or misleading listings;
• attempt to gain unauthorized access to, disrupt, reverse-engineer, scrape, or overload the Service;
• resell, sublicense, or provide the Service to third parties without our written consent;
• upload malware or infringing, unlawful, or harmful content.

We may suspend or terminate access for violations.

• Our IP.The Service, including software, models, designs, text, and branding ("Opsell," logos), is owned by Opsell or its licensors and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms. No other rights are granted.
• Your data.You retain ownership of the catalog, pricing, and business data you provide or connect ("Customer Data"). You grant Opsell a license to process Customer Data to provide and improve the Service, including use of aggregated and de-identified data. See the Privacy Policy.
• Feedback. If you send suggestions, we may use them without obligation to you.

The Service integrates with and links to third-party platforms (marketplaces, payment processors, analytics, scheduling). We are not responsible for third-party services, their availability, or their terms. Your use of them is at your own risk and subject to their agreements.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that recommendations or automated actions will achieve any particular result.

To the maximum extent permitted by law, Opsell and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from or related to the Service, even if advised of the possibility.

Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the [3] months preceding the claim, or (b) ₹[AMOUNT]. Nothing limits liability that cannot be excluded under applicable law.

You agree to indemnify and hold harmless Opsell from claims, losses, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, your pricing/listing decisions and rules, or your breach of these Terms or of any marketplace's terms.

• You may stop using the Service and close your account at any time.
• We may suspend or terminate access if you breach these Terms, fail to pay, or where required for security, legal, or operational reasons.
• On termination, your license ends and we will handle your data as described in the Privacy Policy. Sections that by nature should survive (IP, disclaimers, liability, indemnity, governing law) survive termination.

These Terms are governed by the laws of India. Subject to the arbitration clause below, the courts at [CITY], India have exclusive jurisdiction.

Any dispute arising out of these Terms shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by Opsell, seated at [CITY], conducted in English.

We may update these Terms from time to time. Material changes will be notified via the website or email. Continued use after changes take effect constitutes acceptance. The "Last updated" date reflects the latest revision.
